Terms of Service

1. Agreement

These Terms of Service ("Terms") govern access to and use of TripXY, a transport management and financial ERP product operated by AS Infosolution ("Company", "we", "us"). By creating an account, using the Service, or submitting a demo request that leads to a subscription, you agree to these Terms on behalf of yourself and your organisation.

2. The Service

TripXY provides software for transport agencies to manage trips, billing, ledgers, expenses, and related operations. Features available to your organisation depend on your subscription scope. We may improve, modify, or discontinue features with reasonable notice where practicable.

We do not guarantee uninterrupted availability. Planned maintenance may occur. We aim to provide support during Indian business hours for subscribed customers.

3. Accounts and responsibilities

You are responsible for maintaining the confidentiality of login credentials and for all activity under your accounts. You must provide accurate information and ensure users comply with these Terms.

You are responsible for the accuracy of operational data entered into TripXY, including GST details, party information, and financial postings. TripXY is a tool; statutory filings and business decisions remain your responsibility.

4. Subscription, fees, and payment

Pricing is agreed in a written quote or order form based on fleet size, users, and enabled modules. Fees are billed for the subscription term stated in your agreement unless otherwise agreed.

Onboarding, data migration, and training are included at no additional cost unless your agreement states otherwise. Late payment may result in suspension after notice.

5. Acceptable use

You may not misuse the Service, attempt unauthorised access, interfere with other users, reverse engineer the software except where law permits, or use the Service for unlawful purposes.

We may suspend access for violations, security risks, or non-payment after reasonable notice where appropriate.

6. Data ownership and licence

You retain ownership of operational data you enter into TripXY. You grant us a limited licence to host, process, and back up that data solely to provide the Service.

We retain ownership of the TripXY software, documentation, and branding. These Terms do not transfer intellectual property rights to you except the limited right to use the Service during your subscription.

7. Confidentiality

Each party agrees to protect the other's confidential information disclosed in connection with the Service and not to use it except as necessary to perform under these Terms.

8. Disclaimer of warranties

The Service is provided "as is" and "as available" to the extent permitted by law. We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement except where such disclaimers are not allowed.

Illustrative savings figures on our marketing site are estimates, not guarantees of financial outcomes.

9. Limitation of liability

To the maximum extent permitted by applicable law in India, neither party shall be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or business opportunity.

Our aggregate liability arising from these Terms or the Service shall not exceed the fees paid by you to us in the twelve (12) months preceding the claim, except where liability cannot be limited by law.

10. Indemnity

You agree to indemnify and hold us harmless from claims arising from your misuse of the Service, violation of these Terms, or infringement of third-party rights through your data or conduct, except to the extent caused by our gross negligence or wilful misconduct.

11. Termination

Either party may terminate per the subscription agreement. Upon termination, access may be disabled. You may request export of your data within a reasonable period subject to backup retention policies.

12. Governing law and disputes

These Terms are governed by the laws of India. Courts at Surat, Gujarat shall have exclusive jurisdiction, subject to mandatory consumer protections that cannot be waived.
